These Affiliate Program Terms (version 1.0) govern your participation in the Warmd affiliate program run by Warm'd LLC (“Warmd”, “we”, “us”). They are in addition to our Terms of Service, Acceptable Use Policy and Privacy Policy, which continue to apply. If these terms and the Terms of Service conflict about the program, these terms govern.
1. Joining
You join by accepting these terms in the application, or by accepting them after we add you. You must have a Warmd account with a real, verified email address, be at least 18, and be able to enter into a contract. You do not need a paid plan to be an affiliate.
You are an independent party. Nothing here makes you our employee, agent, partner or representative, and you may not say or imply that you are, or bind us to anything. We may decline or end anyone’s participation.
2. Your link and your code
We give you a referral code and a link that carries it. You may have more than one. A code is yours to share; it is not yours to sell or transfer, and we may rename, pause or remove it. A renamed code keeps answering to its earlier names.
When someone follows your link, their browser remembers your code for 60 days. The most recent link they followed is the one remembered. The code is offered to them when they choose a plan, where they can keep it, change it or clear it. A referral is yours only when a new workspace starts its first subscription through a checkout that carries your code. A workspace has one referral, and one that has subscribed before cannot be referred.
3. What you must disclose
Every time you share your link or code, you must say clearly that you may earn money or credit if the person signs up. The disclosure must be:
- Next to the link or code itself, in the same post, message, video, page or email. A statement on a profile, an “about” page or behind a “more” link is not enough.
- In plain words an ordinary person understands, in the language of the content. For example: “I earn a commission if you sign up with this link.”
- Easy to notice: spoken as well as shown in audio and video, and not in small or faint text.
This is required by the United States Federal Trade Commission’s rules on endorsements and by similar rules elsewhere. You are responsible for following the rules that apply where you and your audience are. If you give an opinion about Warmd, it must be your honest opinion and reflect your real experience.
4. What you may not do
- No spam. Do not send unsolicited email, direct messages, comments or posts to promote your link.
- No unsolicited texts or calls. Do not text or call anyone about Warmd without the prior consent the law requires, and never with an autodialer or a prerecorded or artificial voice.
- No advertising on our name. Do not bid on “Warmd”, “Warm’d”, our domain or misspellings of them in paid search or paid social, and do not use them in an ad’s address or display address.
- No claim or price that is not on warmd.ai. Do not promise results, earnings, compliance outcomes, features, discounts or prices we do not publish. Point people to our website for what the product does and costs.
- No pretending to be us. Do not use our name or logo in a way that suggests your site, account or message is ours, and do not register names or addresses that could be confused with ours.
- No referring yourself. Your code is not for your own workspace, a workspace you belong to, or one that pays with a card of yours. Such a referral is held and may be voided.
- No forced or fake sign-ups. Do not set the code in someone’s browser without a real visit they chose to make, do not pay or reward people merely for signing up, and do not create accounts to collect on them.
- Nothing unlawful, deceptive or harmful, and nothing our Acceptable Use Policy forbids.
5. What a new customer gets
A code may give the person who uses it a discount. What it gives is shown to them at checkout, in dollars, for the plan they chose, before they pay. We may change what a code gives at any time for sign-ups that have not yet started; a customer who has started keeps what they were shown. Do not describe a code’s discount in any way that differs from what the checkout shows.
6. What you earn
Your dashboard states, for each of your codes, what you earn when someone uses it. The terms in force when a referral’s subscription starts are the terms that referral keeps. We may change a code’s terms for later sign-ups. We change what a referral that has already started earns only deliberately, for payments made from then on and never for payments already made.
Commission. Where your code earns a commission, it is a share of the money we actually collect from the referred workspace for our own charges (its plan, seats, phone numbers and usage), after discounts and credits, and excluding taxes and the carrier and registration fees we pass through at cost. It runs for the period your dashboard states, counted from that workspace’s first payment.
Reversals. If a payment is refunded, charged back or disputed, the commission on it is reversed, in proportion to the amount returned. If a reversal comes after we have paid you, the amount is carried against what you earn next.
The hold. A commission becomes payable only after a hold that starts when the customer pays. The hold is stated on your dashboard and is never shorter than 30 days.
Credit instead of commission. Where your code earns free months or a percentage off your own plan instead, it is added as account credit to your own workspace after the same hold. Credit has no cash value and is not paid out, and none is added if the payment it came from is refunded or disputed first.
7. Payouts and taxes
We pay what is payable by a method we agree with you, and we record each payout on your dashboard. We may set a minimum amount and a regular schedule for payouts.
We must have a valid tax form from you before we make any payout (in the United States, an IRS Form W-9, or the appropriate Form W-8 if you are not a US person). We may report what we pay you to tax authorities as the law requires. You are responsible for your own taxes on what you earn.
Tell us within 60 days if you believe a figure on your dashboard is wrong. After that it is final.
8. Review, holds and removal
We check referrals for self-referral, fraud and breaches of these terms. A referral under review still shows what it has earned, but nothing on it is payable until the review is finished. We may void a referral, reverse commission earned in breach of these terms, pause or remove a code, and pause or end your participation. While you are paused your codes do not work and nothing is payable.
9. What you see about the people you refer
For each referral your dashboard shows the first three letters of the business’s name, the day it signed up, whether it is on a trial, paying or ended, and the commission it has produced. You do not receive names, contact details, plans or invoices. You may not try to identify or contact a referred customer through the program, and anything you learn about one is confidential.
10. Changes and ending
We may change these terms. A change that affects what you agreed to is published here as a new version, and we will ask you to accept it; if you do not, your participation ends. Either of us may end your participation at any time. When it ends, your codes stop working and you must stop presenting yourself as an affiliate. Commission already earned on payments made before the end is still paid when it becomes payable, unless it was earned in breach of these terms.
11. General
The program is offered as it is, and we may change or close it. To the extent the law allows, our total liability to you under the program is limited to the commission that is payable to you and unpaid. The governing law, venue and other general provisions of our Terms of Service apply to these terms.
